WITHOUT LIMITING THE FOREGOING, CANVVAS DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CANVVAS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CANVVAS, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL CANVVAS’S TOTAL LIABILITY EXCEED THE FEES PAID (IF ANY) FOR ACCESS TO THE SERVICES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Canvvas and its affiliates, officers, agents, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
13. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Connecticut, USA, without regard to conflict of law provisions. Any legal action or proceeding shall be brought exclusively in a court of competent jurisdiction located in Connecticut, and you irrevocably submit to the exclusive jurisdiction of such courts.
14. Changes to the Services
Canvvas reserves the right, at any time and without notice, to modify, suspend, or discontinue any part or all of the Services. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.
15. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Canvvas regarding the Services.
- Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
- Assignment: You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent.
